Richard S. Heller is one of the founding partners of Shustak Jalil & Heller
and heads the Firm's Securities Compliance Department. He is resident in
the Firm's New York Office
Mr. Heller specializes in securities matters, including the preparation of documents
relating to public offerings as well as the Securities and Exchange Commission
and state "Blue Sky" filings that pertain to public and private offerings,
offshore offerings pursuant to Regulation S, hedge fund formation and compliance
matters.
In addition, Mr. Heller has an active securities arbitration practice handling
Arbitrations for public investors throughout the country.
Mr. Heller serves as a "lawyer's lawyer" and provides state
securities, "Blue Sky" advise and expertise to a number of national
law firms. He has formed and registered hundreds of Broker-Dealers with the National
Association of Securities Dealers Regulation ("NASDR"). His other
area of expertise includes extensive work defending registered representatives
before the NASDR.
His client base is diverse and ranges from major insurance companies in asset-backed
public offerings to IPO's and small offerings of developing companies.
Mr. Heller has served three times on the Securities and Exchange Commission's
Business Forum on Small Capital Formation which has published recommendations
to the White House. He is a Director and Vice President of the New York City
Council of the Navy League of the United States and is a member of the "Fleet
Week" Dinner Gala Committee for the Intrepid Museum in New York City.
Background:
Mr. Heller began his legal career in New York in 1979 when he became associated
with Cahill Gordon & Reindel, where he became an expert in state securities
or "Blue Sky" law. He then joined Fried Frank Harris and Jacobson,
where he created and headed that firm's Blue Sky Department. He thereafter
was a founding member of Krassy & Heller, the country's first boutique "Blue
Sky" law firm. Thereafter, he became a founding member of Shustak Jalil & Heller.

Rutgers College; B.A. 1974 with Distinction in American Studies – History
Wake Forest University School of Law; J.D. 1978; member of the Wake Forest
Law
