In particular, the firm has assisted start-up applicants get through the Byzantine aspects of registration with the NASDR, SEC and various state securities or "Blue Sky" authorities. The firm assists new applicants prepare their initial submission which must include, among other things, several forms (Form BD, U-4s, fingerprints cards, etc) as well as:
  • Business Plan
    Not in the ordinary sense, but a plan that encompasses who will supervise the BD, how they'll do so, the type of BD, its net capital requirements, how it will conduct its day to day operations, etc.

  • Organizational Chart
    Written supervisory procedures which must be tied to an NASD checklist to ensure the examiner will read them.

  • Surety Bond Acquisition

  • DTC and Lost & Stolen Filing

  • Other forms and filing requirements too numerous to list here.
We have worked with a number of corporations (or their law firms) on behalf of their BD applicant clients and have assisted applicants in becoming private placement BDs, General Securities BDs, and every variant in between. We have attended pre-membership interviews for BD applicants throughout the country and have good relationships with many of the NASD pre-membership or continuing membership examiners located at the various NASDR districts.

Our fees range from $10,000 (for simple private placement firms) to $30,000 on more complex filings (involving market making firms or firms owned by non-US parent entities).
